Acceptance
These Terms apply when you use kzar.io, submit an inquiry, request a Digital Presence Review, or authorize KZAR to connect to a social platform account. By submitting a request or authorizing a connection, you agree to these Terms. Our Privacy Policy explains how KZAR handles information associated with those activities. If you do not agree, do not submit a request or authorize a connection.
You must be at least 18 years old and able to enter a binding agreement. If you act for a business or account owner, you represent that you have authority to bind that organization and authorize the requested access.

Website and services
KZAR & CO is a digital studio providing services that may include strategy, branding, design, development, content creation, social media management, publishing support, analytics, and digital operations. Website descriptions are general information, not a binding offer or guarantee of availability, scope, timing, or results.

Client engagements
Paid work, deliverables, fees, schedules, approvals, ownership, confidentiality, cancellation, and other engagement-specific terms are governed by the proposal, statement of work, contract, invoice terms, or other written agreement accepted by KZAR and the client. If that agreement conflicts with these Terms, the engagement-specific agreement controls for that work.
A Digital Presence Review is informational and reflects the information reasonably available at the time. It is not legal, accounting, financial, cybersecurity, accessibility, or regulatory advice.

Acceptable use
You may not use the website or services to violate law or platform rules, infringe intellectual property or privacy rights, distribute malware, impersonate others, interfere with security or availability, scrape or probe systems without permission, transmit deceptive or unlawful content, or authorize access to an account you do not own or control.

Social account authorization
When you connect a social account, you authorize KZAR to access the account data and perform only the actions covered by the approved platform permissions, the requested service, and your approvals. This may include reading account information, preparing or uploading content, scheduling or publishing approved posts, responding to approved interactions, or retrieving analytics.
You remain responsible for account ownership, administrator access, platform eligibility, the accuracy and legality of materials you provide, and final approval of content and destinations. Do not share platform passwords or authentication codes with KZAR. You may revoke access through the platform or request disconnection and deletion using our Data Deletion Instructions.

Third-party platforms
Social networks, hosting providers, analytics providers, and other third parties operate under their own terms and policies. If you authorize KZAR to access YouTube API Services, you agree to be bound by the YouTube Terms of Service. KZAR does not control third-party availability, review decisions, feature limits, account restrictions, policy changes, outages, or data handling. Authorization does not guarantee that a platform will approve an application or publish, preserve, distribute, monetize, or report on content.
You agree that KZAR may pause or refuse an action that appears unauthorized, unsafe, unlawful, inconsistent with platform rules, or insufficiently approved. KZAR will not silently substitute a different destination or platform after an ambiguous publishing result.

Your materials and instructions
You retain ownership of materials you provide. You grant KZAR a limited, non-exclusive permission to host, copy, modify, transmit, and use those materials only as reasonably needed to evaluate an inquiry, prepare requested work, perform the engagement, publish approved content, maintain records, or comply with law. You represent that you have the rights and permissions needed for KZAR to use the materials as instructed.
Form submissions are stored by KZAR & CO on Cloudflare and kept up to 180 days unless they become a client engagement.

Intellectual property
The KZAR website, brand, layout, original text, graphics, code, and other materials are owned by KZAR or used with permission and are protected by applicable law. You may view the site for ordinary business evaluation. You may not copy, republish, sell, or create derivative works from KZAR materials without written permission, except where law expressly permits it. Ownership of paid client deliverables is determined by the applicable client agreement.

Our Privacy Policy explains how we handle personal information and authorized social platform data. By using the applicable service, you acknowledge those practices.

Disclaimers
To the maximum extent permitted by law, the public website and any free review are provided on an "as is" and "as available" basis. KZAR does not warrant uninterrupted access, error-free operation, platform approval, specific audience reach, search ranking, engagement, sales, conversion, revenue, or other business result. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of liability
To the maximum extent permitted by law, KZAR will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising from the public website, a free review, or a third-party platform. For paid client services, liability is governed by the applicable written client agreement. Where liability under these Terms cannot be excluded, KZAR's aggregate liability will not exceed the amount you paid KZAR for the specific service giving rise to the claim during the three months before the event, or 100 US dollars if no amount was paid.

Responsibility for misuse
You are responsible for claims, losses, and reasonable costs caused by your unlawful use of the website or services, your violation of these Terms, your lack of authority over a connected account, or materials and instructions that infringe another person's rights, except to the extent caused by KZAR's own wrongful conduct.

Suspension and termination
KZAR may suspend or end access to a service when reasonably necessary to address security, nonpayment, unlawful use, platform restrictions, material breach, or risk to a client or the public. You may stop using the public website at any time and may request disconnection of an authorized social account. Engagement termination and outstanding obligations are governed by the applicable client agreement.

Governing law
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles. Courts located in Michigan will have jurisdiction over disputes arising solely under these Terms, except where applicable consumer law requires another forum.

Changes
We may update these Terms to reflect service, platform, or legal changes. Revised Terms become effective when posted with a new effective date. Material changes will receive additional notice when appropriate.
